1. About the Service

These Terms govern your use of the website ghillee.com and the "Asset OS" service (membership, calculators, dashboards, educational content, and digital download products — the "Service"), operated by WAYPRIME LLC (a New Jersey, USA corporation doing business as "Ghil Labs" — referred to below as "we" or "us"). By signing up for or using the Service, you agree to these Terms.

2. Not Advice (Important)

All content, calculation results, and tools provided by the Service are general information and education, not tax, legal, investment, or financial advice. For decisions and actions about your specific situation, always consult a licensed professional (CPA, EA, attorney, or registered investment adviser) first. We do not warrant that calculation results are accurate, complete, or current, and you are responsible for any decision you make using the Service.

3. Accounts and Membership

You must provide accurate email information when you sign up, and you are responsible for keeping your account and password secure.
An account is for one individual only and may not be shared with or transferred to anyone else.
Paid memberships are billed through our payment processor Stripe and renew automatically on the cycle you choose (monthly or annual).
You may cancel your membership at any time. Billing stops as of your next renewal date, and you keep access to the Service through the end of the period you have already paid for. Refunds are governed by our Refund Policy.
Prices and membership tiers may change with advance notice.

4. Digital Product License

Digital download products you purchase (HTML tools, PDFs, templates, and the like) are licensed for the purchaser's own personal, non-commercial use.
Redistributing, reselling, sharing, or publicly posting product files and download links is prohibited.
Member-only content (dashboards and similar) is available to view for as long as your membership is active, and may not be copied, leaked, or redistributed.

5. Intellectual Property

All content in the Service (text, tools, design, code, and trademarks) is the property of us or the respective rights holder and is protected by copyright law. Any use beyond what these Terms expressly permit requires our prior written consent.

6. Prohibited Conduct

Unauthorized access to the Service, crawling or scraping, or attempts to bypass security
Sharing or commercially reusing accounts, member content, or download links
Any conduct that interferes with the normal operation of the Service

Violations may result in suspension or termination of your account without prior notice.

7. Disclaimer of Warranties and Limitation of Liability

The Service is provided "as is." To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the Service, and in no event will our total liability exceed the amount you paid to the Service during the preceding 12 months.

8. Governing Law

These Terms are governed by the laws of the State of New Jersey, USA, and disputes will be resolved in the courts of New Jersey.

9. Changes to These Terms

We may revise these Terms, and we will announce material changes on the website or by email. If you continue using the Service after a change takes effect, you are deemed to have accepted the revised Terms.
